1. Confidentiality & White-Label Protection
This is the most important section of this document. Please read it in full.
WordOut Media operates exclusively as a behind-the-scenes execution partner. Protecting our agency partners and their client relationships is a non-negotiable commitment that governs everything we do.
WordOut Media will never, under any circumstances:
- Contact, reach out to, solicit, or communicate with any end client of an agency partner — directly or indirectly
- Disclose, reference, hint at, or confirm our working relationship with any agency partner to any third party
- Use any agency partner’s client names, brands, or project details in our own marketing, case studies, portfolios, or public communications
- Claim credit for work delivered on behalf of an agency partner
- Approach any agency partner’s client for business, referrals, or introductions — during or after the conclusion of the working relationship
All work produced by WordOut Media becomes the sole intellectual property of the agency partner upon delivery. We retain no rights, licenses, or claims to any deliverable.
Your clients remain yours. Always.
2. Terms of Service
2.1 Who We Are
WordOut Media is a white-label digital marketing execution agency serving agencies and businesses across the United States, Canada, and Europe. We provide outsourced delivery across SEO, web design, social media, creative design, marketing automation, and paid advertising.
2.2 Acceptance of Terms
By engaging WordOut Media’s services — whether through a strategy call, free trial, or paid engagement — you (“the Client” or “the Agency”) agree to the terms outlined in this document in full.
2.3 Services Provided
WordOut Media provides digital marketing execution services including but not limited to: SEO, web design and development, social media management, creative design, marketing automation, and paid advertising. Specific scope, deliverables, and timelines are agreed upon in writing prior to commencement of each project or retainer.
2.4 Free Trial Terms
Our 8-hour free trial is offered once per agency partner as a demonstration of our capabilities. It does not constitute a contractual obligation on either party. WordOut Media reserves the right to decline a free trial request at its discretion. No payment details are required to access the free trial.
2.5 Payment Terms
- Invoices are issued at the start of each billing cycle or upon project agreement
- Payment is due within 7 days of invoice date unless otherwise agreed in writing
- Late payments beyond 14 days may result in work being paused without notice
- All fees are non-refundable once work has commenced, unless a quality dispute is raised within 48 hours of delivery
- Accepted payment methods will be communicated at the point of engagement
2.6 Revisions & Quality Guarantee
WordOut Media is committed to delivering work that meets the agreed brief. If a deliverable does not meet the agreed scope, we will revise it at no additional cost. Revision requests must be submitted within 5 business days of delivery. Requests that fall outside the original scope will be quoted separately before any additional work commences.
2.7 Timelines & Delivery
We commit to agreed timelines and will communicate proactively if any delays arise. Delays caused by late feedback, missing assets, or incomplete briefs provided by the agency partner are not the responsibility of WordOut Media and may result in revised delivery dates.
2.8 Scope Changes
Any changes to an agreed project scope must be submitted in writing via email. WordOut Media will assess the impact on timeline and cost and provide a revised quote before proceeding. Work will not commence on scope changes until written approval is received.
2.9 Termination
Either party may terminate an ongoing retainer with 14 days’ written notice. Project-based work may not be terminated once commenced. Upon termination, all completed work is delivered to the agency partner and all outstanding invoices become immediately due and payable.
2.10 Limitation of Liability
WordOut Media’s liability is limited to the total value of fees paid for the specific deliverable in question. We are not liable for indirect losses, loss of revenue, loss of clients, reputational damage, or any consequential damages arising from the use or non-use of our deliverables.
2.11 Governing Law
These terms are governed by the applicable laws of the jurisdiction in which WordOut Media is registered. Any disputes will first be addressed through good-faith negotiation between both parties before any formal legal proceedings are initiated.
3. Privacy Policy
3.1 What Information We Collect
When you interact with WordOut Media — through our website, contact form, newsletter signup, or direct communication — we may collect:
- Name and contact details (email address, phone number)
- Business name and website URL
- Project requirements and service needs
- Communication history
- Payment information (processed securely through third-party providers — we do not store card details)
- Website usage data via cookies and analytics tools
3.2 How We Use Your Information
We use the information collected solely to:
- Respond to enquiries and deliver agreed services
- Send relevant updates, proposals, and communications related to your engagement
- Send our newsletter (only where you have explicitly opted in)
- Improve our website and service offering
- Meet legal and financial record-keeping obligations
- We do not sell, rent, or share your personal information with any third party for marketing or commercial purposes.
3.3 Agency Partner Data & End-Client Confidentiality
Any information shared with WordOut Media regarding an agency partner’s end clients — including names, brands, industries, campaign data, or business details — is treated as strictly confidential.
This information is:
- Used solely for the purpose of delivering the agreed service
- Never stored beyond project completion unless required for ongoing retainer work
- Never shared with any internal or external party not directly involved in the delivery
- Never used for WordOut Media’s own marketing, research, or business development
This confidentiality obligation survives the termination of any working relationship, indefinitely.
3.4 Cookies & Website Analytics
Our website uses cookies and analytics tools (such as Google Analytics) to understand how visitors interact with our site. This data is aggregated and anonymous. You may disable cookies through your browser settings at any time. Disabling cookies will not affect your ability to use our website or contact us.
3.5 Data Retention
We retain personal data only for as long as necessary to fulfil the purpose for which it was collected, or as required by applicable law. Client and project data is retained for a minimum of 3 years for financial record-keeping purposes, then securely and permanently deleted.
3.6 Your Rights
Depending on your location, you may have the right to:
- Access the personal data we hold about you
- Request correction of inaccurate or incomplete data
- Request deletion of your data (“right to be forgotten”)
- Object to or restrict how we process your data
- Withdraw consent for marketing communications at any time

3.7 Data Security
WordOut Media takes reasonable technical and organisational measures to protect your data from unauthorised access, loss, or disclosure. All sensitive communications are conducted over encrypted channels. Access to client data is restricted to team members directly involved in delivering the relevant service.
3.8 Third-Party Services
We use trusted third-party tools to operate our business (e.g. payment processors, project management platforms, email tools). These providers are contractually bound to handle data securely and only for the purpose of service delivery. We do not grant any third party access to agency partner client data under any circumstances.
3.9 GDPR, PIPEDA & US Privacy Compliance
- EU/UK clients: WordOut Media processes personal data in accordance with the General Data Protection Regulation (GDPR)
- Canadian clients: We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA)
- US clients: We follow applicable state privacy laws including the California Consumer Privacy Act (CCPA) where relevant
4. Intellectual Property
All creative assets, written content, code, designs, and deliverables produced by WordOut Media on behalf of an agency partner become the full and exclusive intellectual property of that agency partner upon receipt of final payment. WordOut Media retains no license, claim, or right to reproduce, reference, adapt, or repurpose any such work in any form.
5. Non-Solicitation
WordOut Media agrees not to directly or indirectly solicit, recruit, or engage any employee, contractor, or client of an agency partner during the course of — and for a period of 24 months following the conclusion of — any working relationship.
6. Amendments
WordOut Media reserves the right to update these terms and privacy policy at any time. Material changes will be communicated to active clients via email with at least 14 days’ notice before taking effect. Continued engagement after that notice period constitutes acceptance of the updated terms.
